1. Definitions

These Terms define key expressions used throughout the agreement, including STM, Client, Fees, Confidential Information, Force Majeure, Intellectual Property and Services. References to STM mean STM Global Solutions LLC. References to the Client include the relevant company, beneficial owners, directors or representatives where applicable.

2. General Provisions

The website and the services are provided subject to these Terms, and use of the website constitutes binding acceptance. Users must be at least 18 years old. Information provided on the website is for general informational purposes and should not be relied upon as the sole basis for business, legal, tax, financial or investment decisions. STM may modify, suspend or discontinue website content, services or these Terms at its discretion, subject to the governing provisions set out below. STM may also refuse or restrict access to the website or services where appropriate.

Without limitation, prohibited uses include unlawful activity, money laundering, tax evasion, sanctions violations, misuse of personal data, spam, scraping, malware distribution and interference with website security or functionality.

3. Our Services

STM provides business and corporate advisory services, including related strategic support described on its website or separately agreed in writing. The precise scope of any engagement may vary by client and project.

Nothing on the website or in the services should be interpreted as such advice. Clients remain responsible for obtaining their own independent legal, tax, financial and investment advice from qualified professionals in the relevant jurisdictions.

External professionals: At the client’s request and as part of a wider project, STM may coordinate or engage licensed attorneys, licensed CPAs or other qualified professionals to support specific client matters. Materials supplied by such professionals are provided for convenience and remain ancillary to STM’s own services. STM does not receive commissions, kickbacks or comparable compensation from introduced professionals.

4. Fees, Payment Terms and Refund Policy

Fees may be published on the website or separately agreed with the client. Certain services may be billed annually in advance, while others may be structured through monthly or quarterly installments if agreed. A client relationship generally begins once the agreed initial payment has been received and cleared.

Invoices are generally payable within ten (10) days of the invoice date. Ongoing fees for recurring services remain due in accordance with the agreed payment plan. Unless agreed otherwise in writing, fees are not reduced simply because a client does not use every element of a package. Refunds are generally not offered, though STM may agree to limited case-by-case exceptions. Refund requests must be made in writing to info@stmglobalsolutions.com.

5. Transfer Fees

STM does not charge a transfer fee when a client moves to STM from another provider or transitions from STM to another provider.

6. Overdue Fees

If an account remains overdue for more than thirty (30) days, STM may suspend or terminate services. STM may also charge interest on overdue amounts at a rate of 1.5% per month on balances more than 30 days past due and may require full settlement before reactivation of services.

7. Termination and Suspension of Services

Either party may terminate the agreement at any time unless otherwise agreed in writing. If the client terminates, prepaid ongoing fees are generally non-refundable. Termination requests should be sent by email to info@stmglobalsolutions.com. STM also reserves the right to suspend or terminate services where fees remain unpaid, instructions are unlawful, or continued service would expose STM to regulatory, legal, ethical or operational risk.

8. Customer Service Team

STM maintains customer service availability during normal business support windows as indicated in the governing terms and operational materials. Response times may vary depending on the nature of the inquiry, jurisdiction, complexity and involvement of third-party professionals.

9. Your Obligations

The client is responsible for the legality of its business activities, the accuracy and completeness of data and documents supplied to STM, the timely provision of instructions, and compliance with filing, accounting, tax and regulatory deadlines. The client is also responsible for keeping appropriate records and ensuring that submitted information is truthful and current.

10. Expenses and Disbursements

The client agrees to reimburse STM for reasonable third-party expenses, disbursements and direct out-of-pocket costs incurred in connection with the engagement, including filing fees, state fees, courier costs, postage, certification fees and similar external charges where applicable.

11. Intellectual Property

All content, materials, branding, text, design, graphics, logos, media, layouts and website components are owned by STM, its licensors or the relevant rights holders and are protected by applicable intellectual property laws. No part of the website or STM materials may be copied, reproduced, republished, commercially exploited or distributed without prior written consent, except where mandatory law permits otherwise.

12. Confidentiality and Data Protection

STM treats client information as confidential and will not intentionally disclose confidential information except where disclosure is necessary to perform services, comply with law, respond to lawful requests, protect rights or work with appropriately bound providers or professional partners. Confidentiality obligations are subject to applicable law, regulatory requirements and necessary operational disclosures.

13. Privacy Policy

Use of the website and the services is also subject to the Privacy Policy. By using the website or the services, the client acknowledges that it has reviewed and accepted the Privacy Policy together with these Terms.

14. International Data Transfers

Because STM operates internationally, personal and business data may be transferred to and processed in jurisdictions outside the client’s home country, including outside the United States or European Union where relevant. The client acknowledges and accepts such transfers where they are necessary for service delivery, administration, compliance or supporting operations.

15. Document Storage and Disposal

STM stores documents primarily in digital format and is not a physical records warehouse. The client is responsible for maintaining its own permanent originals and statutory books where required. STM may retain, archive, delete or dispose of records in accordance with its retention practices, legal obligations and internal policies.

16. Security

STM applies commercially reasonable technical and organizational safeguards for data and systems under its control. However, no system can guarantee complete security. Clients are responsible for keeping login credentials, devices, email accounts and internal communication systems secure and for notifying STM promptly of any suspected compromise.

17. Prohibited Businesses and Activities Requiring Prior Approval

STM may refuse to act for businesses or projects involving prohibited or high-risk activities, including unlawful business, money laundering, weapons-related activities, fraud, sanctions exposure and other activities that are illegal, unethical or outside STM’s risk tolerance. Certain regulated or higher-risk activities may require prior written approval before STM agrees to act.

18. Warranties, Liability Disclaimers and Indemnity

The website and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. STM disclaims warranties except where non-excludable by law. To the maximum extent permitted, STM excludes liability for indirect, incidental, consequential or special damages and limits exposure in relation to the services. 19. Third Parties

STM may rely on third-party platforms, subcontractors, service providers and professional partners. STM is not responsible for external websites, tools, materials or services outside its control. Where STM introduces a client to third parties, the client remains responsible for conducting its own diligence and forming its own judgment.

20. Force Majeure

Neither party is liable for delays or failures caused by events outside its reasonable control, including natural disasters, fire, flood, war, terrorism, civil unrest, power failures, transport disruption or comparable force majeure circumstances, except that payment obligations remain due.

21. General

These Terms form part of the overall agreement between STM and the client and work together with the Privacy Policy, Data Processing Policy and any specific written engagement terms. If any provision is held invalid or unenforceable, the remaining provisions remain in force. STM may assign or transfer its rights or obligations where legally permitted.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of Wyoming. Disputes are intended to be resolved through binding arbitration in accordance with the applicable arbitration provisions referenced in the source terms. This local page preserves the governing-law and dispute-resolution structure of the current published version.

24. Your Responsibilities as a Business Owner

The client remains responsible for all legal and statutory obligations of its business, including bookkeeping, tax returns, filings, compliance deadlines, corporate records, reporting requirements and relationships with regulators, tax authorities and licensed advisors.

25. Amendments to the Terms

STM may amend, supplement or update these Terms from time to time. Changes may take effect upon posting, and where required for active clients, notice may also be provided by email. Clients who do not agree with a material amendment may terminate their relationship in accordance with the applicable termination provisions.

26. Limited Designation of Agency

The client agrees that STM may act as the client’s non-exclusive agent and attorney-in-fact for limited administrative purposes connected to a mandate. This may include receiving results of inquiries and communicating them to the client, signing letters in the client’s name, and hiring or instructing attorneys, CPAs and other professionals where necessary for the project. Where required, a separate power of attorney may be provided for signature to formalize such authority.
